Terms of Service

Beta terms. These terms are in force for the Filebot beta as of June 25, 2026. Because the product is evolving, we may update them; we will post any change with a new effective date and give notice of material changes, and your continued use after that date means you accept the update.

These Terms are a binding agreement between Genmod Pty Ltd (ABN 43 690 110 617) (“Filebot”, “we”, “us”) and the individual or entity that creates an account or uses the Filebot hosted file-processing service (“you”). By signing up, creating an organization, generating an API key, or otherwise using the service, you agree to these Terms. Read them with our Privacy Policy and Acceptable Use Policy, which are part of this agreement.

1. The service and your account

Filebot is a developer file-processing platform: you define pipelines (ordered processing steps such as upload, virus-scan, transform, store, and serve) and each execution is a run. You must be at least 18 and able to form a binding contract. You are responsible for activity under your account and organization, including by your members and via your API keys, which are shown once at creation and must be kept secret.

2. How we process your files

We run the pipelines you define and process your input files solely to perform the runs you request and to operate, secure, and support the service. Uploads go directly to Cloudflare R2 object storage via short-lived presigned URLs, namespaced by organization; our API issues the signing and is designed not to receive raw file bytes on the upload path. You may also configure pipelines to import from and store output to your own storage buckets using credentials you supply.

As between you and us, you own your input files and output and are responsible for them, including having all rights and lawful basis necessary to submit and process them. We do not sell your content and do not use it to train our or third parties’ models except as you explicitly configure (for example, by choosing an AI step).

3. Plans, fees, and billing (Merchant of Record)

The service offers a free tier and paid plans with usage-based metering. Paid subscriptions and metered charges are sold and processed through Polar, which acts as our Merchant of Record: Polar is the seller of record and handles checkout, payment processing, invoicing, and the calculation and remittance of applicable taxes. Your purchase is also subject to Polar’s terms presented at checkout. Refunds are handled per our Refund Policy.

4. Acceptable use

Your use of the service is subject to the Acceptable Use Policy. Among other things, you may not process unlawful or infringing content, distribute malware, attempt to access another organization’s data, circumvent quotas or rate limits, or process content you lack the rights to. We may remove content or suspend access for violations.

5. Enterprise Agent (bring-your-own-compute)

If you run the Enterprise Agent, processing for the relevant steps occurs in your own infrastructure. In strict-privacy mode you provide your own signed input and output URLs, and our servers are designed not to receive your file bytes for those steps. You remain responsible for operating, securing, and resourcing the compute you run and for the credentials issued to your agent.

6. Proprietary license; reservation of rights

The Filebot service and all Filebot software are proprietary to, and © Genmod Pty Ltd (ABN 43 690 110 617); all rights reserved. They are licensed, not sold. We grant you only the limited right to use the hosted service and to run any software we provide (such as the Enterprise Agent and SDKs) solely to use the service. You will not copy, modify, reverse-engineer, redistribute, sublicense, or create derivative works of the Filebot software, except to the extent that restriction is prohibited by law.

7. Beta service, availability, and changes

Filebot is currently offered as a beta / early-access service, provided “as is” and “as available”. It may change, be interrupted, or be discontinued, and there is no uptime guarantee except as expressly committed in a written service-level agreement. You should not rely on the beta for production-critical workloads without your own backups and safeguards.

Because the product is evolving, we may modify these Terms (and the Privacy Policy and Acceptable Use Policy) during the beta. We will post any update with a new effective date and give notice of material changes; your continued use after that date means you accept the update. If you do not agree to a change, your remedy is to stop using the service and close your account.

8. Warranties and Australian Consumer Law

Except as expressly stated, the service is provided “as is” and “as available” without warranties of any kind. Nothing in these Terms excludes, restricts, or modifies any guarantee or remedy that cannot lawfully be excluded under the Australian Consumer Law. Filebot is sold for business use; to the extent permitted, our liability for breach of a non-excludable guarantee is limited, at our option, to re-supplying the service or paying the cost of re-supply.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data.

For the free, trial, or beta tiers, Filebot has no liability to the maximum extent permitted by law. For paid services, Filebot’s total aggregate liability will not exceed the fees you paid us for the affected service in the twelve months before the event giving rise to the claim. These limits do not cap your payment or indemnification obligations, or any liability that cannot be limited by law.

10. Indemnification

You will defend and indemnify Filebot against any third-party claim arising from the content or data you or your end users submit, process, store, transmit, or serve through the service (including claims that it is unlawful or infringing), and from your use of the service in violation of the Acceptable Use Policy or applicable law. Filebot acts as a technical processor and conduit and is not responsible for the content and data that passes through the service.

11. Term, suspension, and termination

These Terms apply while you use the service. You may close your organization at any time. We may suspend or terminate for material breach (including of the Acceptable Use Policy), non-payment, or as required by law. On termination, your license to use the service ends and we delete your data as described in the Privacy Policy. Provisions intended to survive (intellectual property, confidentiality, disclaimers, liability, indemnity, and governing law) survive termination.

12. Governing law

These Terms are governed by the laws of South Australia, Australia, and the parties submit to the exclusive jurisdiction of its courts. We may update these Terms; we will post the updated version with a new effective date and, for material changes, provide reasonable notice. Continued use after the effective date constitutes acceptance.
